Texas Instruments to Acquire
Assets of Oasix and Arisix Corporations
Acquisitions Increase TI's Design Capabilities for Mass Storage Applications Dallas (February 2, 1998) -- Texas Instruments Incorporated (NYSE: TXN) today announced that it has entered into an agreement to purchase certain assets of Oasix and Arisix Corporations, both digital integrated circuit design centers for mass storage products. Oasix, located in Boulder, Colorado, and Arisix, in San Jose, California, are privately-held companies that specialize in the development of integrated circuits used in storage product applications. Combined, the companies employ approximately 20 full-time professionals. Oasix and Arisix have developed a strong reputation in the industry for delivering maximum value to their customers by improving time to volume while reducing overall engineering development costs. This acquisition further expands our mass storage product development capabilities and adds to our leadership position in digital signal processing solutions. The design expertise also continues our leadership toward single-chip integration, said Russ Garcia, vice president of marketing at Silicon Systems. These acquisitions complement TI's existing mass storage capabilities. TI acquired Silicon Systems, Inc. in July of 1996 and Intersect Technologies in January of 1997 to establish the company as a leading supplier of semiconductor products to the hard-disk drive and removable data storage markets. By adding the expertise of Oasix and Arisix, TI's Storage Products Group will provide greater levels of density, integration and performance, ultimately resulting in more cost-effective solutions in the mass storage market. TI will acquire the assets, design tools and licenses in a series of transactions. The first phase was completed in December, with the remaining phases expected to be closed by mid-year. Upon closing, the employees will be integrated into TI's Storage Products Group. The Texas Instruments Storage Products Group serves the mass storage market through the combined resources of Silicon Systems, Intersect Technologies and the mass storage efforts of Texas Instruments. It provides advanced semiconductors for high performance, desktop and mobile hard disk drives and removable drives. Its industry-leading read channels and DSP solutions are complemented by its innovative servo/spindle, interface, preamp and ASIC solutions.
